Please read these Terms of Service carefully before using the OnniOne platform. By accessing or using our Services, you agree to be bound by these terms.
Acceptance of Terms
By accessing or using the OnniOne platform, website, and services (collectively, the 'Service'), you agree to be bound by these Terms of Service. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these terms. If you do not agree to these terms, you may not use the Service.
Service Description
OnniOne provides a B2B software procurement and license management platform that enables businesses to discover, purchase, manage, and renew software subscriptions from third-party vendors. OnniOne acts as an authorized reseller and procurement agent, not as the software vendor. All software products available through our platform are provided by and licensed from their respective publishers under separate end-user license agreements.
Account Registration
You must create an account to use certain features of the Service. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.
Subscription and Payment Terms
Software subscriptions purchased through OnniOne are billed on a recurring basis (monthly or annually) as specified at the time of purchase. All fees are quoted and payable in MYR (or USD where specified). Prices are subject to change with 30 days notice. You authorize OnniOne to charge your payment method for all fees incurred. Late payments may result in suspension of Service access. All fees are non-refundable except as required by law or explicitly stated in a separate agreement.
License Management
OnniOne provides tools to manage, assign, and track software licenses purchased through our platform. You are responsible for ensuring that license usage complies with the applicable vendor's end-user license agreement. OnniOne is not responsible for license compliance violations resulting from your use or distribution of licenses beyond authorized limits. You agree to indemnify OnniOne against claims arising from unauthorized license usage.
Intellectual Property
The OnniOne platform, including its design, code, content, trademarks, and technology, is owned by OnniOne Inc. and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to access and use the Service for your internal business purposes. You may not copy, modify, distribute, sell, or reverse engineer any portion of the Service without our express written permission.
Service Availability
OnniOne strives to maintain 99.9% platform availability. We may perform scheduled maintenance with advance notice where feasible. We reserve the right to temporarily suspend Service access for emergency maintenance or security reasons. OnniOne is not liable for Service interruptions caused by factors beyond our reasonable control, including vendor system outages, internet disruptions, or force majeure events.
Limitation of Liability
To the maximum extent permitted by law, OnniOne shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. Our total liability for any claim arising from these terms or the Service is limited to the fees you paid to OnniOne in the 12 months preceding the claim. These limitations apply regardless of the theory of liability.
Indemnification
You agree to indemnify and hold harmless OnniOne, its affiliates, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Service, your violation of these terms, your violation of third-party rights, or your violation of applicable software vendor license agreements.
Termination
Either party may terminate these terms at any time. Upon termination, your right to access the Service immediately ceases, and we will provide you with a reasonable opportunity to export your data before account deletion (typically 30 days). Provisions that by their nature should survive termination (including payment obligations, intellectual property, limitation of liability, and indemnification) will continue to apply.
Governing Law and Disputes
These terms are governed by the laws of Malaysia and applicable federal frameworks, without regard to conflict of law principles. Any dispute arising from these terms shall be resolved through good-faith mediation or binding arbitration. You agree to resolve disputes on an individual basis and waive any right to participate in a class action.
Changes to Terms
We may modify these terms from time to time. Material changes will be communicated via email and in-platform notification at least 30 days before taking effect. For existing customers, renewal changes will not apply retroactively. Your continued use of the Service after changes take effect constitutes acceptance of the modified terms.
